Terms of Service

By accessing or using ClientFlux.ai (the “Platform”), you agree to these Terms, our Privacy Policy, and Acceptable Use Policy. If you do not agree, do not use the Platform.

ClientFlux is open to businesses and consumers worldwide. You must be of legal age in your jurisdiction and have authority to act for any business you represent. Business ownership claims require independent verification and admin approval; a matching email or business name alone never grants verified status.

You are responsible for keeping credentials secure and for activity under your account. We use email/password authentication. You must provide accurate information and keep it updated. We may suspend or close accounts that violate these Terms.

Each business receives a globally unique, permanent ClientFlux Business ID. The Business Passport is the single source of truth shared by the marketplace listing, the AI agent, and the free website — not three disconnected profiles. Free services are subject to usage limits and are clearly distinguished from premium modules. We may impose reasonable per-business AI usage and cost controls.

Each claimed and approved business may have one AI Business Agent configured from its Business Passport. The agent answers questions about services, hours, and contact information; qualifies inquiries; captures leads; and escalates uncertain questions to the owner. It never invents prices, availability, or reservations, and never accesses another business's private data. Live AI responses require a configured provider; otherwise a clearly labeled simulation applies.

Eligible businesses may generate a professional website from Business Passport data on a ClientFlux-hosted subdomain. Website slugs must be globally unique. Premium options (custom domains, advanced pages, marketing tools) may be offered separately. Website leads feed into your Business Hub Lead Inbox. You may edit your website through your Business Hub.

Consumers may post Needs and receive a unique Request ID. Matching is deterministic by default and works without AI; Gemini may assist with natural-language understanding but the Platform remains functional when AI is unavailable. We never fabricate business availability, pricing, bookings, or transactions.

Businesses may accept or decline requests, propose appointments, and update lead status. Outcomes are recorded in the Business Hub. Online payment is optional and only available where a supported provider is configured; existing booking flows remain operational without it.

ClientFlux Circle is a non-monetary loyalty program. We do not operate a cash wallet, transferable monetary points, purchase of points, guaranteed cashback, or consumer-to-consumer transfers. Benefits are merchant-controlled non-monetary loyalty benefits subject to local consumer-protection and promotional regulations. Referral rewards require verified qualifying activity and anti-fraud checks; we do not reward registrations alone.

ClientFlux Pay integrates licensed payment providers where available. We do not directly hold consumer funds or operate an unlicensed money service. Commissions on marketplace activity require an explicit contractual basis and are not charged automatically.

Premium CRM capabilities may be offered as upgrades or through integration with an external CRM provider. Live provisioning and billing are disabled until explicitly authorized. A 14-day premium trial may be offered; at expiration, free CRM is retained and premium entitlements are disabled. We do not delete your data on trial expiration.

Approved sales partners may prepare business drafts, send claim invitations, and track attribution and commissions. Partners must not create verified businesses, impersonate owners, approve their own claims or commissions, or send unsolicited bulk outreach. Commissions are calculated only from verified events and actual eligible payments and are payable only when approved. We do not activate real payouts without explicit approval.

We use authorized sources (Google Places, Foursquare, when configured) to discover businesses for acquisition. We respect each provider's terms on storage, reuse, retention, and display. Discovered prospects are not treated as registered, claimed, or verified ClientFlux members until they complete the applicable onboarding.

• Submitting false or misleading information.
• Impersonating another person or business.
• Bypassing authentication, rate limits, or Row Level Security.
• Fabricating reviews, ratings, prices, or transactions.
• Sending unsolicited bulk messages.
• Scraping or republishing restricted provider content.
• Attempting to self-assign verified or admin status.

ClientFlux retains its proprietary Business IDs, Consumer IDs, Request IDs, Lead IDs, Booking IDs, and Transaction IDs, plus first-party demand and commercial records. We grant you a limited, revocable license to use the Platform for its intended purpose. Business content remains owned by you; you grant us a license to display it as needed to operate the Platform.

The Platform is provided “as is” to the extent permitted by law. We do not guarantee search-engine rankings, ChatGPT or Gemini search visibility, business availability, bookings, or commercial outcomes. AI features may be unavailable when a provider is not configured, in which case clearly labeled fallback behavior applies.

To the maximum extent permitted by law, ClientFlux and Davick Int'l Trade, LLC are not liable for indirect, incidental, or consequential damages, or for losses arising from third-party providers, AI outputs, or business decisions made using the Platform.

These Terms are governed by the laws applicable to Davick Int'l Trade, LLC without regard to conflict-of-laws principles, except where your local consumer-protection law provides otherwise.
